Terms of Service

These Terms of Service ("Terms") are an agreement between you and Kuldron LLC, a Colorado limited liability company with its address at 1500 N Grant St Ste R, Denver, CO 80203, United States ("Kuldron", "we", "us"). They govern your access to and use of Kuldron. By using Kuldron, you agree to them. If you do not agree, do not use Kuldron.

If you live in the EEA, the UK or another place whose consumer law gives you rights that cannot be waived by contract, nothing in these Terms takes those rights away.

1. Eligibility

You must be at least 13 years old to use Kuldron. In the EEA and the UK you must be at least 16, unless your country sets a lower age and a parent or guardian consents on your behalf. If you are under 18, you may only use Kuldron with the involvement of a parent or guardian. By using Kuldron you represent that you meet these requirements and are not barred from using Kuldron under applicable law.

2. Your account

You are responsible for the accuracy of the information you provide when registering and for keeping your account credentials secure. You are responsible for all activity on your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts at our discretion, including for violations of these Terms.

3. Your content

You retain ownership of the content you stream, upload, or otherwise submit to Kuldron ("User Content"). By submitting User Content, you grant Kuldron a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, transcode, distribute, display, perform, and otherwise use your User Content for the purpose of operating, providing, and improving Kuldron, including delivery to viewers, archiving as VODs, generating clips, and promoting the platform. This license is non-exclusive: you may stream and distribute your content elsewhere at the same time.

You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law. You are solely responsible for your User Content.

4. Acceptable use

You may not use Kuldron to:

  • Stream, upload, or distribute content that is unlawful, infringing, defamatory, harassing, hateful, threatening, sexually explicit, or harmful to minors.
  • Harass, threaten, intimidate, stalk, or repeatedly target another person, including through unwanted contact or by coordinating or encouraging others to target them.
  • Circumvent or attempt to circumvent a restriction, suspension, ban, block, content removal, feature limitation, or other safety or enforcement action imposed by Kuldron, a channel or community, or another user. You may not create or use another account, use another person's account, or let someone use your account to avoid an action that applies to you or to continue contacting or targeting someone who has blocked or restricted you.
  • Stream copyrighted content you do not have rights to.
  • Impersonate others or misrepresent your affiliation.
  • Engage in fraud, including chargeback fraud, payment fraud, or wallet abuse.
  • Interfere with or disrupt Kuldron's operation, including bypassing security, evading the limits that apply to you, or running denial-of-service activity. Reading Kuldron's public content in volume is not itself a violation — it is measured, and where you have turned on usage-based charges it is billed — but spreading that reading across addresses or accounts in order to escape those limits or those charges is.
  • Use automation, bots, or scripts to manipulate viewer counts, chat, subscriptions, tips, or wallet activity.
  • Use Kuldron in any manner that violates applicable law.

We may remove content and suspend or terminate accounts that violate these rules.

5. Intellectual property

Kuldron, including its software, design, branding, and original content, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use Kuldron for its intended purpose. We retain all rights not expressly granted.

6. Wallet, payments, and refunds

Kuldron uses a wallet system. Wallet credits are not money, have no cash value outside the platform, and cannot be transferred between accounts or redeemed for cash.

  • Adding funds credits your wallet with the charge amount net of card processing fees applied by our payments processor. The amount added to your wallet will therefore be less than the amount charged to your card. Add-funds charges are final and we do not provide refunds for wallet credits except where required by law.
  • Free viewing costs the viewer nothing: watching draws on a viewing allowance that refills on its own rather than on your wallet. It issues no credits and buys nothing, and we may change the size of the allowance.
  • Usage-based charges are off unless you turn them on. With them on, usage beyond the allowance included with your account is charged to your wallet at the rates published on Kuldron, and you can cap what may be spent in a period. Running out of wallet balance, or reaching a cap you set, does not cut off your access: your allowances return to the ones every signed-in account gets. You can turn usage-based charges off at any time.
  • Supporting Kuldron is an optional payment to Kuldron itself, separate from your wallet and from payments to creators. You choose a one-time or monthly amount within the limits shown before Checkout and explicitly confirm the charge through our payments partner. Monthly support renews automatically at the amount then in effect until you cancel. You may change the amount for the next renewal without proration, cancel at any time with effect at the end of the current paid period, and resume a scheduled cancellation before that period ends.
  • Subscriptions are recurring monthly charges to your saved payment method, processed by our payments partner. They auto-renew until cancelled. You can cancel any time; cancellation takes effect at the end of the current billing period and we do not prorate or refund unused time.
  • Tips are charged directly to your saved payment method and are final once submitted, except as described under Self-service refunds below.
  • Self-service refunds: you can refund your most recent subscription charge, Patron payment, or a tip you sent, from your account within 3 days of the payment. The full amount charged is returned to your original payment method. Refunding a creator-subscription charge ends that subscription immediately, and subscriber benefits stop at once rather than continuing to the end of the period you were refunded for. Refunding a recurring Patron payment immediately cancels that monthly support and ends the refunded paid period. Wallet top-ups remain non-refundable. We may restrict access to direct card payments on accounts that use refunds repeatedly.
  • Chargebacks: initiating a chargeback for an add-funds charge, creator subscription, tip, or Patron payment may result in account suspension. Where a self-service refund is available, we ask that you use it first. We reserve the right to dispute chargebacks and recover associated losses. A reversal tied to creator earnings is handled as described in Section 7; a reversed Patron payment no longer supports Patron recognition.

Patron support is voluntary. It is not a charitable contribution and is not tax-deductible. It grants no ownership interest, governance right, authority, influence over Kuldron, or access to essential features.

After a settled Patron payment, you may privately retain or publicly display an amount-neutral Patron distinction. Public recognition is off by default. You may independently choose whether your Patron mark appears with your identity. On the public Patrons page, you may choose either a named profile listing or acknowledgment only in an anonymous collective count. Until you choose one, and after you remove yourself, your support is not included on the page. You may change those choices at any time. A current paid monthly period is recognized as Sustaining Patron support. A qualifying payment during the first 90 days of the program may receive permanent Charter Patron recognition. Recurring milestones depend on the number of valid paid invoices, never the amount or an unbroken streak. Refunds and disputes remove the affected payment from recognition and milestone calculations; public recognition ends if no qualifying payment remains.

EEA and UK consumers. You normally have 14 days to withdraw from a purchase of digital content or services. By adding funds, subscribing, tipping, or supporting Kuldron, you ask us to begin performance immediately and acknowledge that you lose that right once performance is complete. This does not affect the self-service refunds above, which we offer regardless.

Pricing, fees, and rates may change. Material changes will be announced in advance.

7. Creator earnings

Kuldron takes a 1% platform fee on the gross of your subscription and tip revenue. Both subscription and tip revenue are credited to your earnings net of that platform fee and the card processing fees our payments processor charges on each transaction.

Payouts are subject to a separate payout schedule, minimum threshold, and processing fees applied by our payments processor described elsewhere on Kuldron. You are responsible for your own taxes, including any withholding or reporting that applies.

Chargebacks and reversals. If a viewer initiates a chargeback, refund, or any other reversal after revenue has been credited to you, we will reverse the corresponding amount from your earnings. Specifically:

  • If the credit has not yet been transferred from Kuldron's balance to your payout account, we will reverse it from your pending earnings balance.
  • If the credit has been transferred but is recoverable from your payout account, we will reverse the transfer.
  • If neither is possible, the reversed amount may be applied as an offset against your future earnings, which may produce a negative pending balance until you accrue enough earnings to satisfy the deficit. We are not obligated to issue payouts while a deficit exists, and the deficit is your obligation to Kuldron until satisfied.

We may delay, withhold, reduce, deny, or claw back any payout at our sole discretion, including pending investigation of suspected fraud or abuse, in connection with chargebacks or refunds, to satisfy tax or legal obligations, to investigate violations of these Terms, or to correct platform error. Earnings shown in your dashboard do not create a right to payment.

8. Termination

You may stop using Kuldron at any time. We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or for any other reason. Upon termination, sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

9. Disclaimers

Kuldron is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Kuldron will be uninterrupted, error-free, or secure, or that User Content will be accurate, lawful, or appropriate.

10. Limitation of liability

To the maximum extent permitted by law, Kuldron will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising from or related to your use of Kuldron, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or related to these Terms or your use of Kuldron is limited to the greater of (a) the amount you paid Kuldron in the twelve months preceding the claim, or (b) USD $100.

11. Platform operation and our discretion

Kuldron is a new platform and is actively under development. Streaming, metering, wallet, and payout systems can and do have bugs. You acknowledge and accept this risk as a condition of using Kuldron.

To the maximum extent permitted by law:

  • Error correction. If wallet credits, subscription benefits, tips, creator earnings, or Patron recognition are issued, displayed, or paid in error — including as a result of a software bug, miscalculation, abuse, or fraudulent activity — we may correct, void, reverse, or recover the affected amounts at any time, with or without notice. Corrections may produce a negative wallet balance or an offset against future earnings until resolved.
  • Payout discretion. We may delay, withhold, reduce, deny, or claw back payouts at our sole discretion, including (without limitation) where we suspect fraud or abuse, in connection with chargebacks or refunds, to satisfy tax or legal obligations, to investigate violations of these Terms, or to correct platform error. Earnings shown in your dashboard do not create a right to payment.
  • Account-level remedies. We may freeze a wallet, suspend payouts, void credits, or restrict access to features at any time and for any reason, including investigation of suspected abuse. We are not obligated to disclose the basis for any such action.
  • No guaranteed availability. We do not guarantee uptime, stream quality, viewer reach, ad revenue, or any specific commercial outcome.

You agree that the actions described in this section, taken in good faith, do not give rise to any claim against Kuldron or any obligation on our part to compensate you, whether in money, credits, or otherwise.

12. Indemnification

You agree to indemnify and hold harmless Kuldron and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of Kuldron, or your violation of these Terms or any law.

13. Dispute resolution

Informal resolution first. Before filing a formal claim, you agree to contact us at legal@kuldron.com and try to resolve the dispute informally for at least 60 days.

Arbitration. If informal resolution fails, any dispute arising out of or related to these Terms or Kuldron will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Colorado. Either party may seek injunctive relief in court for intellectual property misuse.

Your right to opt out. You can decline arbitration by emailing legal@kuldron.com within 30 days of first accepting these Terms, with your account name and a statement that you opt out. Opting out costs you nothing else in these Terms, and we will not close your account for it.

Small claims. Either party may bring an individual claim in small claims court instead, if it qualifies.

Class action waiver. You and Kuldron agree to bring claims only on an individual basis. Class arbitration, class actions, and representative actions are not allowed.

Consumers outside the United States. If mandatory law in your country gives you the right to bring a claim in your local courts or bars binding arbitration, that law governs and this section does not apply to you.

If the arbitration or class action waiver is found unenforceable, the remaining provisions of this section will remain in effect.

14. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to conflicts of law principles. Subject to the arbitration provision above, you and Kuldron consent to the exclusive jurisdiction of the courts located in Colorado for any matter not subject to arbitration.

15. Changes to these terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., on Kuldron, by email, or in-app). Continued use of Kuldron after changes take effect constitutes acceptance of the updated Terms.
